One major function is to identify which carrier your BlackBerry was originally provisioned to. When you start Desktop Manager, it scans the BB and determines who the original carrier is. It then is used to prevent you from loading the handheld OS certified by a different carrier onto that BB.

So, we always suggest removing VENDOR.XML to ensure that you can load any carrier released code onto any BlackBerry.
