Thanks for the help, after you mentioned the store, it got me thinking and I finally got the issue resolved...
It seems our Exhchange Admin recently moved her account from one store to another...Whenever that is done, you need to reboot the box, or just restart the BES services...Once I did that, it activated just fine...
