An updated OS is just that...an updated version of the operating system. Research In Motion (RIM) makes the OS's. Then, the wireless carriers decide when to put them out and might add additional features for their network. But, an OS from one carrier will still work on a different carrier's network as long as it is still the same phone. (ie, an 8320 will work on both AT&T and T-Mobile's Network)

An unlocked phone means that it has been unlocked from a carrier's network and can work on the same style of network with a different carrier. As an example, a lot of people have bought the Blackberry Bold that can only run on the AT&T network in the US. But, if it is unlocked, it can work on any other GSM carrier, like T-Mobile.

You don't need to unlock your phone unless you want to use it on another carrier, say, you wanted to switch from TMobile to ATT. That would mean terminating your contract with TMO and signing up with ATT.
