Fratts, I'm not sure I follow your reasoning on this one. I have upgraded numerous devices that either didn't have a SIM card in them or was never connected to a carrier. Upgrading of the os has nothing whatsoever to do with a data plan. Its best to say that you don't know than to speculate and give out wrong information.
Misho, I would double-check that you downloaded the correct os for your device and then make sure you are following the posted instructions on how to upgrade. You could also try a complete wipe using jl_cmder and then use the loader.exe program to reinstall the os.
